Who files Form 1065
Every domestic partnership files Form 1065, unless it neither receives income nor has expenses treated as deductions or credits. That includes an LLC with two or more members, which is taxed as a partnership unless it elects to be taxed as a corporation.
How to file a partnership extension
Enter code 09 on Part I, line 1. Fill it out online free here, print it and mail it so it's postmarked by March 15, 2027. Or e-file it through an authorized e-file provider, which has a cost and gets you an IRS acknowledgment.
What goes on line 6 for a partnership
Usually -0-. A partnership generally doesn't pay tax on its income; it passes profits and losses through to its partners. Check the Form 1065 instructions for the rare cases where the partnership itself owes an amount, and enter that estimate if it applies.
The partnership late-filing penalty
The penalty applies if Form 1065 is filed after its due date, including extensions, or is missing required information. It's $255 for each month or part of a month (up to 12 months), times the number of partners during the year. That's the amount for returns required to be filed in 2026; the IRS adjusts it each year.
Example: four partners, three months late: $255 x 4 x 3 = $3,060, with no tax due at all. Separate penalties ($340 each for returns filed in 2026) can apply for each Schedule K-1 not furnished to a partner on time. The IRS can waive penalties for reasonable cause.
Partners and their own returns
Extending Form 1065 pushes back when partners get their Schedule K-1s, so they may need more time too. Individual partners extend Form 1040 with Form 4868, which moves it to October 15. Partners that are corporations or partnerships use their own Form 7004.
Partnerships with books outside the U.S.
A partnership that keeps its books and records outside the United States and Puerto Rico gets extra time automatically (Regulations section 1.6081-5). It has until the 15th day of the 6th month after year end, without filing anything. It attaches a statement to the return saying it qualifies. If it needs more time, it files Form 7004 with line 4 checked for 3 more months.
Fiscal-year partnerships
Form 1065 is due on the 15th day of the 3rd month after the tax year ends, and the extension is 6 months. A tax year ending June 30, 2026 was due September 15, 2026, extended to March 15, 2027. Calculate your dates.

Common partnership extension mistakes
- Thinking no tax means no penalty. The per-partner penalty applies even when nothing is owed.
- Assuming April 15. Calendar-year partnerships are due in March.
- A name that doesn't match last year's return.
- Forgetting the asset test for the mailing address in the eastern states.
